1. 개요

체인店 / Chain store, Franchise

동일한 메이커 제품을 취급하는 소매 상점을 여러 곳에 두고 중앙에서 통제, 경영하는 점포 조직.

체인점이란 표현은 영어의 Chain store에서 가져온 것이다. 영어의 다른 표현으로는 프랜차이즈(Franchise)가 있다. 원 뜻은 프랑스어로 '특권을 주다' 라는 뜻. 중세 유럽 시대 부르주아들이 '부르(Bourg)'의 소유권을 가진 영주들에게 돈을 주고 자치권을 산 행위에서 유래되었다. 여기서 확장되어 상표, 브랜드, 지적재산권, 요식업, 스포츠 산업에 퍼져서 상품의 취급 권한을 허가한다는 의미로 쓰인다.

체인점이 꼭 외식업에서만 쓰는 말은 아니지만, 대한민국 프랜차이즈는 대부분이 요식업에 치우쳐 있다. 그리고 매우 레드 오션인 상태이다.

2. 종류

유통산업발전법 제2조 제66호 각 호에 따른 체인사업의 분류이다.

엄밀하게 프랜차이즈는 가맹점형 체인점만 의미하지만, 대부분의 기업이 직영점과 가맹점, 임의가맹점을 혼합하여 운영하기 때문에 프랜차이즈의 의미를 칼같이 구분하는 경우는 거의 없다.

유통산업발전법 제2조에서 말하는 "체인사업"이란 같은 업종의 여러 소매 점포를 직영(자기가 소유하거나 임차한 매장에서 자기의 책임과 계산하에 직접 매장을 운영하는 것을 말한다. 이하 같다)하거나 같은 업종의 여러 소매 점포에 대하여 계속적으로 경영을 지도하고 상품·원재료 또는 용역을 공급하는 다음 각 목의 어느 하나에 해당하는 사업을 말한다.

어떤 경우에든 분점을 본점과 다른 사람이 영업해야 체인점에 속하며, 본점 점주가 직접 운영하면 분점이 아니라 일종의 별관이다.

2.1. 직영점

일반적인 유통망을 거치지 않는 본사에서 직접 운영하는 매장을 직영점이라고 한다. 체인 본부가 주로 소매 점포를 직영하되, 가맹 계약을 체결한 일부 소매 점포, 즉 가맹점에 대하여 상품의 공급 및 경영 지도를 계속하는 형태의 체인사업을 직영점형 체인사업이라고 한다.

제조업의 경우 공장에서 생산된 물건을 바로 가져다 놓기 때문에 신제품이나 한정판 또는 신선한 제품을 구입할 수 있다는 장점이 있으며, 회사 규칙에 따라 다르지만 일반 소매가보다 싸게 파는 경우가 많다. 다만 유통 구조에 엄격하거나 유통 질서 확립 등의 이유로 딱 정가로 운영되는 직영점도 더러 있다. 편의점의 경우 직영점이나 아니냐가 최저시급을 맞춰주고 법에 명시된 추가수당을 지급하나, 아니냐를 가르기도 한다. 사실 다른 곳도 마찬가지다. 간단히 말해서 직영점은 큰 대기업 직원이 되는 것이고, 가맹점은 가맹점주=사장 아래서 일하는 것이기 때문이다. 여기서 가맹점주 1명만 일하는 곳이라면 1인 사업자 즉 자영업이 되는 것이다.

2.2. 가맹사업

상법 제168조의6(의의) 자신의 상호·상표 등(이하 이 장에서 "상호등"이라 한다)을 제공하는 것을 영업으로 하는 자[이하 "가맹업자"(加盟業者)라 한다]로부터 그의 상호등을 사용할 것을 허락받아 가맹업자가 지정하는 품질기준이나 영업방식에 따라 영업을 하는 자를 가맹상(加盟商)이라 한다.
가맹사업 진흥에 관한 법률 제2조(정의) 이 법에서 사용하는 용어의 뜻은 다음과 같다.
1. "가맹사업"이란 가맹본부가 가맹점사업자로 하여금 자기의 상표, 서비스표, 상호, 휘장(徽章) 또는 그 밖의 영업표지[이하 "영업표지(營業標識)"라 한다]를 사용하여 일정한 품질기준이나 영업방식에 따라 상품(원재료 및 부재료를 포함한다) 또는 용역을 판매하도록 하면서 이에 따른 경영 및 영업활동 등에 대한 지원·교육과 통제를 하고, 가맹점사업자는 이에 대한 대가로 가맹본부에 금전을 지급하는 계속적인 거래관계를 말한다.
가맹사업거래의 공정화에 관한 법률 제2조(정의) 이 법에서 사용하는 용어의 정의는 다음과 같다.
1. "가맹사업"이라 함은 가맹본부가 가맹점사업자로 하여금 자기의 상표·서비스표·상호·간판 그 밖의 영업표지(이하 "영업표지"라 한다)를 사용하여 일정한 품질기준이나 영업방식에 따라 상품(원재료 및 부재료를 포함한다. 이하 같다) 또는 용역을 판매하도록 함과 아울러 이에 따른 경영 및 영업활동 등에 대한 지원·교육과 통제를 하며, 가맹점사업자는 영업표지의 사용과 경영 및 영업활동 등에 대한 지원·교육의 대가로 가맹본부에 가맹금을 지급하는 계속적인 거래관계를 말한다.

독자적인 상품 또는 판매·경영 기법을 개발한 체인 본부가 상호·판매 방법·매장 운영 및 광고 방법 등을 결정하고, 가맹점으로 하여금 그 결정과 지도에 따라 운영하도록 하는 형태의 체인사업.

2.3. 임의가맹점

체인 본부의 계속적인 경영 지도 및 체인 본부와 가맹점 간의 협업에 의하여 가맹점의 취급 품목·영업 방식 등의 표준화사업과 공동구매·공동판매·공동시설활용 등 공동 사업을 수행하는 형태의 체인사업.

2.4. 협동조합

같은 업종의 소매점들이 「중소기업협동조합법」 제3조에 따른 중소기업협동조합, 「협동조합 기본법」 제15조에 따른 협동조합, 같은 법 제71조에 따른 협동조합연합회, 같은 법 제85조에 따른 사회적협동조합 또는 같은 법 제114조에 따른 사회적협동조합연합회를 설립하여 공동구매·공동판매·공동시설활용 등 사업을 수행하는 형태의 체인사업.

쉽게 말해 민주주의식 체인점이다. 다른 체인점을 포함하여 대다수 기업들은 이사회의 감독 아래에서 운영된다. 경영진이 이사회에 안건을 올려 허가를 요구하고 이사회가 허가를 내주면 경영진이 하부 점포들에게 지시사항을 보낸다. 그러나 협동조합은 하부 점포가 곧 이사회다. 하부점포들이 스스로 이사회 같은 조직을 구성하여 중앙 경영조직을 만들고, 중앙경영조직은 하부점포(=이사회)를 지원한다.

3. 장점

별도의 광고 비용 없이도 가맹 기업의 브랜드를 빌려서 높은 수준의 인지도와 모든 재료, 영업 방식 등의 노하우를 얻을 수 있다는 것. 일종의 '비법 전수' 라고 볼 수 있다.

프랜차이즈를 이용하지 않고 혼자서 자영업을 하려면 입지 결정, 인테리어, 영업 방식, 조리법, 재료 조달, 홍보, 세무 처리 등등 수많은 사항들을 그야말로 맨땅에 헤딩으로 시작해야 한다. 이는 자신의 자산을 상당부분 투자해 진행해야하는 대부분의 초보자에게는 정말 막막하기 그지없는 일이다. 한편 프랜차이즈 업체를 통해 장사를 하게 되면 본사측의 지침을 따르며 천천히 배워갈 수 있기에 이런 문제점들이 상당부분 해결된다.
특히 돈은 있는데 해당 분야에 대한 경험이 없고 밑바닥부터 겪어가며 시작하기에는 상황이 여의치 않은 중장년층 은퇴자들에게 있어서, 돈만 좀 내면 체계적인 매뉴얼을 통해 사업을 시작할 수 있는 프랜차이즈는 매우 매력적으로 다가올 수밖에 없다.

소비자 입장에서도 프랜차이즈 업체들은 어딜 가도 대부분 정해진 기준에 따라 동일한 품질, 동일한 가격으로 서비스되기 때문에 버스 터미널, 역 같이 한두 번만 들르는 사람들이 많은 곳이나, 시골 지역처럼 아는 동네 사람들 위주로 영업하는 곳에서 호갱이 될 가능성이 줄어든다는 장점이 있다. 특히 군부대 위수지역의 경우 롯데리아 등 프랜차이즈가 선호되기도 한다.

점포 수가 적은 경우 인지도가 낮고 주먹구구식으로 운영되는 경우가 많다는 단점은 있지만, 세심하게 챙겨줄 때가 많다. 가맹비도 저렴하거나 없는 경우도 있다. 다만 이러다가도 프랜차이즈가 대형화되면 아래의 갑질 폐단이 나타나는 경우가 많다.

4. 단점

위에 적어놓은 장점이 곧 업주의 리스크가 된다. 가맹점주가 리스크를 피하기 위해 맺은 갑을 관계는 갑(가맹점)을 잘못 만나면 부메랑이 되어 돌아오기 때문이다. 직원 시절엔 하다못해 노동법으로 보호라도 되지, 개인사업자는 그런 보호조차 받을 수 없다.

갑을 관계에서 갑인 프랜차이즈 업체가 가맹점주를 뜯어먹는 가장 쉬운 방법이 계약서에 장난질 치기다. 가맹기업이 기본 마진을 가져가는 비율[1]이 있기 때문에 실마진율이 떨어지고, 간혹 장사가 안 돼서 망하더라도 본사(가맹 기업)에는 계속 일정량의 수익을 줘야 하므로 피해를 보는 쪽은 가맹점에 한정되는 경우가 많다. 심지어 이 수익은 매입, 인건비, 세금 비용을 차감한 순이익이 아니라 그냥 깡 매출인 경우가 많다. 수익과는 별도로 계약시 본사에게 몇년 약정 등으로 아예 코를 꿰이는 경우도 있으며, 갑자기 본사가 망해버리는 경우도 있으므로 가맹 계약을 하기 전에 잘 알아보고 하는 것이 좋다. 그게 아니어도 특정 지점이 장사가 잘 되면 지금의 입지를 버리고 더 확장하자며 일방적인 인테리어 교체나 물품 밀어내기 등 업체의 갑질은 온갖 방법을 가리지 않고 자행된다. 이 때문에 물가 인상에도 불구하고 가맹점주가 벌어들일 수 있는 수익은 전혀 오르지 않는다.

가장 심한 경우는 초기 자본금만 받아 챙기고 가맹 기업이 사라져 버리는 사기극이라, 해당 기업이 얼마나 오래되었는지와 인지도 등을 조사하는 게 좋다. 특히 사기로 짐작된다면 해당 업체에서 주는 자료를 지인들에게 돌려서 알아봐 달라고 하자. 이런 "계약"을 하는 사기의 경우 교묘한 계약 조항에 낚여 재판에서 패소할 확률이 높으니 가급적 주의하는 게 좋다.

BBQ치킨과 같은 메이저 치킨집들이 동네 상권을 전부 소멸시키고 나서 업체들의 가격을 인상하는 폐단이 나타나기도 한다.

음식 문화의 획일화도 비판 요소가 될 수 있다. 다만 이는 사회 문화 전반의 문제이고, 가맹주들은 균질한 맛을 목적으로 프랜차이즈에 가맹하는 것이므로 장점에 가깝다.

오너 리스크가 크다. 유명 프렌차이즈 본사의 높으신 분[2] 혹은 가맹점주가 사회적으로 범죄를 저지르거나 문제를 일으키는 경우[3], 그 해당 브랜드까지도 싸잡혀서 욕을 먹게 되거나 최악의 경우에는 프랜차이즈 브랜드 자체가 공중분해되는 경우까지 생기기 마련이다.[4]

실제로 90년대 중반부터 유행했던 'The Flair' 라는 칵테일 프랜차이즈의 경우에도 대표이사가 직원들 개개인에게 가야 할 성과금 등을 횡령하여 주식에 투자했다가 제대로 직원들의 뒤통수를 치게 되었다. # 결국 대표이사는 개인 파산 신청, 직원들의 줄소송으로 기업은 도산하게 되었고, 해당 브랜드는 현재 종로에만 한 군데 개인 업장식으로 운영하는 형태로만 남아있게 되었다.

프랜차이즈 창업은 개인 창업에 비해 망할 가능성은 낮지만 초기 비용은 오히려 더 높을 수 있다. 프랜차이즈는 기존 건물에 남아있는 모든 시설을 철거하고 프랜차이즈 업체의 인테리어와 집기, 식자재, 경우에 따라서는 직원까지 프랜차이즈에서 파견하기 때문에 개업 초기 자금이 수억대에 달한다.
문제는 프랜차이즈는 망할 가능성이 개인사업자에 비해 낮을 뿐, 망할 가능성이 없는 것은 결코 아니라는 점이다. 가맹점주가 경영난을 겪을 때 프랜차이즈 본사가 도와줄 수 있는 부분은 매우 미비한 수준이다. 더욱이 빚까지 내서 무리하게 투자하다 실패하면 이는 고스란히 가맹점주가 부담해야 한다.

4.1. 대형 체인점의 폐단

대형 체인점은 인지도는 좋지만 아무래도 초기 진입 장벽이 높은 편이다. 게다가 법률적인 면에서 가맹점주의 권리 보호가 잘 이루어지지 않아 문제가 되고 있으며, 본사가 횡포를 휘두르면 업주들은 생계를 위해 쉬쉬하기에 잘 드러나지 않는 일이 많다. 창업 비용이 너무 비싸서 문제인 경우도 있고, 가맹점 계약 해지 역시 그리 호락호락하지가 않다.

대형 체인점의 횡포 때문에, 초기 1~2년 정도의 어려움을 극복할 수만 있다면 개인 상표로 창업한 사람이 프랜차이즈 업주보다 더 낫다고 볼 수 있다. 물론 둘 다 초창기 1-2년은 버티기 힘들다는 게 문제이긴 하지만, 망했을 때 그 뒷감당이 프랜차이즈 쪽이 훨씬 크다. 또한 가맹 계약을 다른 사람에게 넘기고 싶어도 본사에서 허가를 해주지 않는 경우(계약 조항을 잘 보자)가 있기에 손해를 보고 정리하는 경우가 많다.

특히 대한민국은 직영점에 비해 가맹점의 숫자가 압도적으로 많이 늘어나는 방식인 반면, 일본의 경우는 대부분 직영점 위주이고 가맹점이 많더라도 직영점의 점포수를 넘지 않는다. 게다가 가맹점 대부분도 몇 년씩 근무한 우수 직영점 직원 출신이 대부분이라고 한다. 애초에 미국 같이 자본주의의 극을 달리는 나라에서도 프랜차이즈 식당 장사는 협동조합으로 한다. 한국처럼 가맹점이라는 이름으로 갑을 관계가 주인 프랜차이즈는 미국 같은 곳에서도 존재하지 않는다.

일부 프랜차이즈의 경우 우수 직원 출신에게 창업 비용 지원 혜택을 주는 것처럼 보이면서 뒤통수 치는 경우도 있으니 주의할 것. 직접 운영하던 직영점을 가맹점주 모집 및 우수 직원 창업 혜택으로 돌리면서 우수 직원들에게 창업 혜택을 주는 것이라고 소개하고 있지만, 장사가 정말 잘 되면 회사가 꼭 쥐고 있지 그런 식으로 나누어 주지 않는다. 가맹점이 있는 곳도 장사가 생각 이상으로 잘 된다면 다른 기업이 들어와 나눠 먹기 되니 '차라리 본사가 직영점을 차리는 것이 이익이다'라는 마인드로 차리는 것도 부지기수이다.

5. 점바점

체인점에서 각 점포마다 제공하는 서비스(주로 식당의 음식)의 차이가 현격한 것을 가리키는 말이다. 아마 Case by case(케바케)를 좀 바꿔서 만든 말인 것으로 생각된다.

대개 단점으로 여겨지는 편이다. 위에서 다루었듯 체인점이란 어디서든 균질한 서비스를 제공하는 것을 목표로 하기 때문이다. 경우의 수로만 따지자면 더 나은 경우도 있기 나름이지만 그런 점포라면 사실 점장으로서 체인점으로 있을 요인이 그리 크지 않을 것이다. 대개 확연히 질이 떨어지는 곳이 두드러지게 나타날 때 점바점 문제가 대두되는 편이다. 점바점 편차가 크면 본사의 점포 관리가 미숙하다고 비판받는다.

판촉 행사 같은 것은 이따금 특정 점포에서만 이루어질 때가 있는데, 이런 건 보통 점바점이라고 하진 않는다.

6. 상호명

체인점 각 점포는 지명을 따 '<상호명> <지명>점'으로 이름이 붙는다. 개장 순서에 따라 '1호점', '2호점' 등으로 부르기도 하나 대형화되면 주로 지명으로 부르게 된다. 처음 개업한 메인 가게는 본점(本店)이라고 부른다. 본점 외에는 다 지점(支店)이지만, 초기에 생겨 본점과 역사를 오래 함께 한 지점은 본점과 비슷한 입지를 갖곤 한다.

대개는 동마다 체인이 들어서기에 동 이름이 자주 쓰이는 편이지만 편의점처럼 한 동에도 같은 상호의 여러 점포가 들어선 경우 동 이름에 좀 더 세부 명칭이 덧붙곤 한다. 그런데 이게 가게들 임의로 붙는 것이고 확고한 지명 인식에 따라 붙는 것은 아닌지라 상호만 보고서는 정확히 그 동의 어디에 있는지 알기 어려울 때도 있다.[5] 그래서 간혹 식품 포장 주문을 하고서 엉뚱한 점포로 잘못 가는 손님들도 있고, 이런 일이 자주 발생하는 점포에서는 포장 주문을 할 때 위치 확인을 당부하곤 한다.

종종 잘 나가는 체인점의 이미지를 주기 위해서인지 2호점이 없는 가게인데도 '○○점', '1호점' 등으로 써두는 가게도 보인다.

7. 업종

한때 유행을 타고 동종 업종에 유사 업체가 난립했다가 유행이 지나면 단체로 공멸하는 사태가 많이 발생한다. 이후에는 식당이나 카페 메뉴 중 하나로 편입되는 것이 보통이다. 프랜차이즈 창업을 위해서는 개개 점포가 얼마나 잘 유지되고 있는지, 유행이 지나도 버틸 수 있는 업체인지 등을 면밀히 따져야 한다. 특히 요식업.

배달업이 발전하면서 매장이 아니라 임대주방에서 경영을 하는 경우도 늘어났는데, 이 경우에는 유행이 지나더라도 다른 메뉴로 갈아타기가 용이하다는 장점이 있다. 한 매장에서 두 상호로 배달을 병행하는 경우도 늘어났다.

대부분의 유행 음식은 당분, 나트륨, 지방이 과다하여 소비자들의 입맛을 사로잡는 원인이기도 하면서 건강을 해치는 원인이기도 하다. 언론들은 특정 음식이 유행할때마다 클릭베이트를 위해 유행 음식의 유해성에 대해 기사를 내보내는 경향이 있다.
